These Terms of Service ("Terms") govern your access to and use of the website and services provided by Wyvilo OÜ ("Wyvilo", "we", "us"). By using our website or engaging our services, you agree to these Terms.

  • 1. Definitions

    • "Services" means 3D design, 3D animation, interior layout, web design, web development, Python software, PHP/CSS/JavaScript/Node.js/MySQL development, SaaS platforms, product development, CAD, SolidWorks, Blender, architectural visualization, video editing, technical consulting and related services offered by Wyvilo. "Client" means any person or entity engaging our Services. "Site" means this website.

  • 2. Use of the website

    • You agree to use the Site lawfully and not to: attempt unauthorised access, disrupt its operation, scrape or copy content without permission, or use it to transmit harmful or unlawful material.

  • 3. Services and engagement

    • The specific scope, deliverables, timeline and fees of any project are defined in a separate written agreement, proposal or statement of work ("Project Agreement"). In case of conflict, the Project Agreement prevails over these Terms for that engagement.

  • 4. Fees and payment

    • Fees are set out in the applicable Project Agreement. Unless stated otherwise, invoices are payable within 14 days. Overdue amounts may incur statutory late-payment interest under Estonian law. Prices are exclusive of VAT unless stated.

  • 5. Intellectual property

    • All content on the Site — including the Wyvilo name, logo, text and design — is owned by Wyvilo and protected by law. Ownership of deliverables created for a Client transfers as set out in the relevant Project Agreement, typically upon full payment. We retain rights to our pre-existing tools, know-how and reusable components.

  • 6. Confidentiality

    • Each party shall keep the other party's confidential information secret and use it only for the purpose of the engagement, both during and after the relationship.

  • 7. Warranties and disclaimers

    • We provide our Services with professional care. Except as expressly agreed, the Site and any free content are provided "as is" without warranties of any kind, to the maximum extent permitted by law.

  • 8. Limitation of liability

    • To the extent permitted by law, Wyvilo is not liable for indirect, incidental or consequential damages, or loss of profit or data. Our total liability for any claim is limited to the fees paid for the Services giving rise to the claim. Nothing limits liability that cannot be excluded under mandatory law (e.g. intent or gross negligence).

  • 9. Term and termination

    • Either party may terminate an engagement as set out in the Project Agreement. We may suspend access to the Site or Services in case of material breach. Provisions that by their nature survive termination (e.g. IP, confidentiality, liability) remain in force.

  • 10. Governing law and disputes

    • These Terms are governed by the laws of the Republic of Estonia. Disputes shall first be resolved by negotiation; failing that, they shall be settled by Harju County Court (Harju Maakohus). Consumers may also use the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr).

  • 11. Changes

    • We may update these Terms. The current version with its date is always shown on this page. Continued use after changes constitutes acceptance.
